These Terms of Service ("Terms") are a legal agreement between you and Nesteye, Inc. ("nesteye," "we," "us," or "our"), a Delaware corporation headquartered in Austin, Texas. By accessing or using nesteye.ai (the "Website"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.

These Terms govern use of the Website only. Use of nesteye hardware, software, dashboards, or Edge AI Services is governed by a separate pilot agreement, master services agreement, or end-user license agreement, which prevails if there is a conflict.

You agree not to:

• Use the Website in violation of law or regulation.
• Attempt to gain unauthorized access to the Website or related systems.
• Probe, scan, or test vulnerabilities without prior written consent.
• Use automated means to collect information except for well-behaved search-engine indexing.
• Interfere with the Website or connected networks, send unsolicited commercial communications, or reverse engineer software made available through the Website.

The Website, including its text, graphics, logos, nesteye name and mark, photographs, source code, and look and feel, is owned by nesteye or its licensors and protected by intellectual-property laws. You may view and use the Website for personal, non-commercial reference. No other rights are granted.

If you submit ideas, suggestions, or feedback, you grant nesteye a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, modify, and incorporate that feedback without obligation. Do not send confidential information through email or the Website.

The Website may link to third-party resources. We are not responsible for their content, accuracy, or practices and do not endorse them. Use third-party sites at your own risk and subject to their terms.

The Website is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, nesteye disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage.

nesteye does not warrant uninterrupted, error-free, secure, or harmful-component-free operation. Website content is general information and is not veterinary, agricultural, financial, legal, or other professional advice.

To the maximum extent permitted by law, nesteye and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages or any loss of profits, revenue, data, or goodwill arising from Website use, even if advised of the possibility.

nesteye’s aggregate liability arising from these Terms or the Website will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this limitation may not apply.

You agree to defend, indemnify, and hold harmless nesteye and its officers, directors, employees, and agents from claims, losses, liabilities, or expenses, including reasonable legal fees, arising from your violation of these Terms or misuse of the Website.

We may update these Terms from time to time. We will revise the last-updated date and communicate material changes through a Website notice. Continued use after a change takes effect constitutes acceptance.

We may suspend or terminate Website access at any time, with or without notice, including for violation of these Terms. Provisions that by their nature should survive will remain in effect.

These Terms are governed by Texas law without regard to conflict-of-law rules. Disputes will be brought exclusively in state or federal courts in Travis County, Texas, and you consent to personal jurisdiction and venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

• These Terms and the Privacy Policy are the entire agreement regarding the Website.
• If a provision is unenforceable, the remaining provisions remain in effect.
• Failure to enforce a provision is not a waiver.
• You may not assign these Terms without consent. nesteye may assign them in connection with a merger, acquisition, or sale of assets.
